One of Zumiez shareholders, Brentwood-Zumiez Investors, LLC, is offering 1,609,090 shares of Zumiez Inc.’s common stock in a public offering. Piper Jaffray & Co. is acting as the sole underwriter for the offering. No new shares will be issued by Zumiez Inc. in this transaction and all of the net proceeds from the offering will be received by the selling shareholder.
Brentwood-Zumiez Investors, LLC is an entity formed in 2002 by affiliates of Brentwood Private Equity III, LLC, a private equity firm (“Brentwood Associates”), to hold Brentwood Associates investment in Zumiez Inc. The proposed sale of the shares described above constitutes all of remaining ownership interest of Brentwood-Zumiez Investors, LLC in Zumiez Inc.
