American Skiing Company has been selling off several of its resort holdings over the past three months. Just last week, the resort holding company announced plans to sell Mount Snow and Attitash resorts for $73.5 million, and in December announced a deal to sell Steamboat for $265 million. Most recently the company announced a definitive agreement to sell VT-based Killington and Pico to SP Land Co. for $83.5 million, $5 million of debt and certain contractual obligations.

Killington has been in partnership with SP Land since 2004 on a number of developable real estate parcels in the Killington area. AESK said that it became apparent that real estate and resort operations should be controlled by a single owner during the design and planning period for the new Killington Village.

The proposed sale is expected to have no impact on customers. The sole holder of the Company’s Preferred Stock Series C-1, representing 65.8% of the voting shares has voted in favor of the transaction, which constitutes majority stockholder approval.
