S&S Activewear, based in Bolingbrook, IL, has signed a definitive agreement to acquire competitor TSC Apparel, marking S&S’s fourth acquisition since 2010.

Over the past decade, S&S said it has made significant investments in North American capacity and technology and now has approximately 4 million square feet of warehouse space and over 2,000 employees.

“We saw a great affinity between TSC and S&S,” said Jim Shannon, CEO, S&S. “We both built our business through a positive company culture, retail-brand focus and the development of relationships with employees, vendors and customers.”

Founded in 1976 and based in Cincinnati, OH, TSC has grown from a regional T-shirt supplier into a distributor of blank apparel and accessories, serving “over 30,000 customers.”

“We see this as an exciting next chapter for our company,” said Dave Klotter, CEO, TSC Apparel. “Through a similar customer-centric approach, S&S will be able to build on our success that will greatly benefit our industry.”

“We’re excited to inherit such a well-established company,” said Frank Myers, chief operating officer and chief financial officer, S&S. “For years, we have thought it made a lot of sense to acquire TSC not only for both our companies but for our industry as a whole. We are bringing together two organizations dedicated to creating a first-class customer experience.”

Debevoise & Plimpton LLP served as legal counsel to S&S in the transaction.
