Compass Diversified Holdings (CODI), the parent company of the 5.11 Tactical, Boa, Primaloft, Sterno, and Velocity Outdoor businesses, is reporting that director Gordon M. Burns advised the Board of Directors on January 3, 2025, that he will not stand for re-election at CODI’s 2025 annual shareholders meeting due to other commitments.

Effective January 3, Burns stepped down as the chair of CODI’s Nominating & Corporate Governance Committee but remains on the its Board and as a member of each of the company’s Nominating Committee and Compensation Committee up and until the company’s 2025 annual shareholders meeting.

Burns joined the CODI Board in May 2008.

“Over the past fifteen years, Gordon has made a meaningful contribution to our Board, particularly with respect to our capital raising and capital allocation efforts,” offered Elias Sabo, CEO of Compass Diversified Holdings, in a media release. “As chair of the Board’s Nominating Committee, he was integral in identifying and recruiting the diverse and talented individuals that will lead our Board into the future. Effective January 3, CODI appointed current director Nancy B. Mahon as chair of the Board’s Nominating Committee, replacing Burns.

Mahon has served as a director of CODI since May 2023. She is the Chief Sustainability Officer of The Estée Lauder Companies, Inc. She holds a Juris Doctor Degree from the New York University School of Law and can practice in State and Federal jurisdictions.
