Olin Corp., the parent of Winchester, and Huntsman Corp. announced that the U.S. antitrust waiting period for their $12.5 billion merger has expired. The expiration of the Hart-Scott-Rodino (HSR) Act waiting period clears a major U.S. regulatory hurdle.

Shareholders from both companies voted to approve the deal on August 25. The deal is still on track to close in the first half of 2027, pending final regulatory approvals.

The combined business will be named OlinHuntsman Corporation. Olin owns the Winchester ammunition business and produces industrial chemicals, including chlorine, caustic soda, epoxy materials, vinyls, bleach, and hydrochloric acid. Huntsman produces more than 400 different specialty chemical products, primarily amines, polyols and carbonates.
